Terms of Service

Calas Automations Inc. · Winnipeg, Manitoba, Canada · Effective 2026-10-15

These Terms of Service (“Terms”) govern your use of the software and services run by Calas Automations Inc. (“Calas,” “we,” “us”), including On File, Lead Me, Quote Me, Haul Me, Watchpost, Calas ScamCatch, ScamCatch Family, Dispatch Me, ReceiptSort, Permit Checker, Dropwatch and our assistant Cara (each a “Service”). By creating an account, paying for or using a Service, you agree to these Terms.

If you use a Service for a business, “you” means that business and the people who use its account, and you agree to these Terms for the business you represent. “Your customers” means the people your business serves, quotes or contacts. If you buy ScamCatch Family for yourself or your family, Section 4B also applies to you.

Some Services have their own terms as well. Quote Me has its own Terms of Service, which you accept when you sign up in the app; for Quote Me, those terms apply, and where they say something different from these Terms, the Quote Me terms win. Permit Checker has its own Terms of Use. Any written agreement we sign with you (for example, for Dispatch Me) also applies.

Our Privacy Policy explains how we handle personal information. If you do not agree to these Terms, please do not use the Services.

1. Who we are

Calas Automations Inc. is a corporation based in Winnipeg, Manitoba, Canada. We build automation software and simple tools for small and medium businesses and for the public, including document chasing, lead finding, quoting, trucking cost tools, security alerts and scam checking.

2. Accounts

3. What the Services do (and don’t do)

Each Service is described on its own page on calasautomations.com. In general:

No Service gives legal, tax, accounting, financial, medical, insurance, engineering or safety advice. Output from any Service, including anything written by AI, must be checked by a qualified person before anyone relies on it for those purposes.

4. Fees, billing and cancelling

4A. On File: the 30-day pilot and cancelling

On File starts with a free 30-day pilot that runs beside the way your business chases documents today. Nothing is charged during the pilot; if you keep On File, the monthly fee starts on day 31. Sign-up is manual: we create your account by hand after you ask, and billing is set up by us by hand; nothing in On File bills you or locks you out by itself.

4B. If you are a consumer (ScamCatch Family)

If you buy for personal or family use, consumer protection law where you live applies, and nothing in these Terms takes away those rights. ScamCatch Family costs C$9.99 a month or C$99 a year, plus applicable tax. Stripe charges your card when you subscribe and again on the same date each month or year until you cancel. You can cancel any time in your account or by calling 431-244-9026. You won’t be charged again, and your plan runs to the end of the period you paid for. We will email you at least 30 days before any price change, and a new price applies to you only if you agree to it. If we cannot provide the service, you may cancel and we will refund you within 30 days. Seller: Calas Automations Inc., 431-244-9026, [email protected] (mailing address at the end of these Terms).

5. Acceptable use

You agree not to:

6. Your content

You own the data, documents, photos, voice recordings, lists and other content you put into a Service (“Your Content”). You give Calas Automations Inc. a limited licence to store, process and send Your Content only to provide the Service to you, keep it secure and fix problems. We do not use Your Content to train AI models. Our Privacy Policy explains which providers handle it, and where.

Your customers’ information. When you put your customers’, clients’ or subcontractors’ personal information into a Service, your business is responsible for it, and we handle it for you as your service provider. We will:

Your responsibilities. You must have the right to put Your Content into the Service. That includes telling your customers, clients, subcontractors and staff how you use their information, having any consent the law requires, and having consent or another lawful basis under Canada’s anti-spam law (CASL) for the emails and texts a Service sends on your behalf.

7. AI-generated output

Several Services use AI models, run by the providers named in our Privacy Policy, to transcribe, extract, sort, score, draft or answer. AI output can be wrong. These features are built so that a person reviews the output before anyone acts on it. You are responsible for what you send, order or do after reviewing AI output.

8. Availability and support

We aim for high availability but do not guarantee that the Services will be uninterrupted or error-free. We may carry out maintenance, and we may change or discontinue a Service or a feature, with reasonable notice where practical.

9. Limitation of liability

In plain words: if something goes wrong, the most we pay is what you paid us in the last 12 months (or CA$500, if that is more). We don’t pay for knock-on losses like lost jobs, and we aren’t responsible for the emails, quotes, loads and work you decide on. These limits don’t protect us if we were grossly negligent, acted on purpose or caused an injury, and they don’t take away a consumer’s rights under consumer protection law.

As far as the law allows:

(a) We are not liable for indirect, incidental, special or consequential losses (knock-on losses) from your use of a Service, including lost profits, lost jobs or lost data.

(b) We are not liable for the content of any email, quote, invoice, report or purchase order you send, any load you take, any work you quote or do, or any decision you make after reviewing AI-generated or automated output, except to the extent the loss was caused by a defect in the Service itself (for example, the Service changing a figure you entered).

(c) Our total liability for all claims about the Services, including under Section 9A, is limited to the greater of: the amount you paid us for the Services in the 12 months before the event that caused the claim; or CA$500.

(d) These limits apply to every kind of claim, whether for breach of contract, negligence, misrepresentation or anything else, and whether or not we knew the loss was possible.

(e) Our fees are set on the basis of these limits. Without them we would charge more, or not offer the Services.

(f) Our employees, directors, officers and contractors are not personally liable to you for anything connected with the Services. They can rely on this section as if they had signed these Terms.

These limits do not apply to:

9A. Claims by others (indemnity)

In plain words: if someone sues us over the emails, quotes or work your business sends or does, or over your customer data, you cover it. If someone sues you because we mishandled personal information or the software itself infringes someone’s rights, we cover it. Neither side pays for the other’s share of the blame. This section applies to business customers, not to consumers.

You cover us. You will defend Calas Automations Inc. and pay its losses and reasonable legal costs if a third party (such as one of your customers, a supplier, an employee or a regulator) makes a claim against us, to the extent the claim comes from: (a) an email, quote, invoice, purchase order or other message or document you send using a Service; (b) work you or your subcontractors quote, do or fail to do, including safety, code, permit and licensing compliance; (c) Your Content, including any notice or consent you failed to give or get; or (d) your breach of these Terms or of the law.

We cover you. We will defend you and pay your losses and reasonable legal costs if a third party makes a claim against you, to the extent the claim comes from our breach of our duties about personal information in Section 6, or from a claim that the Service itself (not Your Content) infringes someone’s intellectual property rights. Our obligations in this paragraph are subject to the limit in Section 9(c).

Fair shares. Each side’s obligation is reduced to the extent the loss was caused by the other side. The side asking for cover must tell the other promptly about the claim, let the other run the defence, and cooperate reasonably. Neither side may settle a claim in a way that admits fault on the other’s behalf without the other’s consent.

10. Ending your account

You can cancel any time, as set out in Section 4. We may suspend or close access immediately if you materially breach these Terms, including the acceptable use rules in Section 5. Some Services delete your data a set time after your plan ends; the Privacy Policy and each Service’s page say when, so download anything you want to keep before then.

11. Governing law

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Manitoba have jurisdiction over any dispute about these Terms or the Services, and you and we both agree to their jurisdiction. We may also bring a claim for unpaid fees in the courts where you are based, including small claims court. If you are a consumer, nothing in this section takes away any right you have to bring a claim where you live.

12. Changes to these Terms

We may update these Terms. We will post changes here with a new effective date. For a material change to Sections 9 or 9A, or to fees, we will email the account owner at least 30 days before it takes effect, and you can cancel before then. If you keep using a Service after a change takes effect, the new Terms apply.
